Customer may access and use the products that Customer subscribed to during the Term in accordance with this Agreement, whether through a paid subscription, free trial, or promotion (each a "Product" as related to in Customer's "Order Form" or invoice). The useful provisions of this Agreement govern each of these. Crmgro may add to, change or stop any component of the Products at any time; supplied however, that no such change shall potential increase Customer’s obligations or materially decrease Customer’s entitlements under this Agreement. Any and all actions carried out by Customer, their employees, or a third party using the credentials for their Crmgro account are their sole responsibility. The customer is responsible for protecting all account credentials that it owns or controls. Crmgro is not liable for any loss or damage arising from any improper use of Customer’s account.
Any data that a customer or its users input into the products for processing in accordance with this agreement is considered "Customer Data," including any personally-identifiable information (hereinafter "Personal Data"). Crmgro has no control over the nature, scope, origin, or methods by which Customer acquires Personal Data processed by the Products; Customer has sole discretion over the Personal Data it inputs into the Products. Customer Personal Data that is in Crmgro's possession or under its control will be protected by applicable privacy laws and regulations, and the company will ensure that its employees do the same. Any legal, regulatory, or similar restrictions that apply to the kinds of data that the customer chooses to process with the products are entirely the responsibility of the customer. Notices regarding Personal Data of Customer's Users and clients must still be handled and processed in accordance with Customer's policies. The Products grant Customer the ability to separately backup and library Customer Data. Accordingly, Customer is liable for performing regular backups of Customer Data. Insofar as it is economically feasible, Crmgro will assist the Customer in recovering and restoring Customer Data to the Products. Customer understands and agrees that Crmgro is not responsible for any loss or corruption of Customer Data or other software.
Products, services, software, networks, systems, directories, websites, databases, and information from third parties are referred to as "Third-Party Services" when they are linked to or enabled by a Customer in conjunction with one or more Products. Customer may choose to enable, access or use any Third-Party privileges (as defined above). Regardless of whether these third-party services are provided by a third party that is a member of a Crmgro partner program or otherwise specified by Crmgro as “certified,” “approved,” or “integrated” with Crmgro, the customer admits that access to and use of these third-party services are solely governed by the terms and conditions of those third-party services. Additionally, the customer acknowledges that Crmgro is not responsible for, and does not make any representations or warranties regarding, any aspect. The customer and the relevant third-party provider are the only parties liable for any use of third-party services by the customer. Customer irrevocably waives any claim on Crmgro with respect to such Third-Party Services. Crmgro is not liable for any damage or loss created or alleged to be caused by or in connection with Customer’s allow, access or use of any such Third-Party Services, or Customer’s dependence on the privacy practices, data security processes or other policies of such Third-party Services.
It may be necessary for Crmgro to perform scheduled and/or unscheduled repairs or maintenance, or remotely patch or upgrade the Product. This may temporarily degrade the quality of the services or result in a partial or complete outage of the Product. Crmgro will endeavor to carry out such work during times that will cause the least disruption to Customer’s business. Customers shall cooperate, if necessary, to perform such work.
The Crmgro website's content is provided "as is." Crmgro makes no warranties, expressed or implied, and hereby disclaims all other warranties including, without limitation, implied warranties or conditions of marketability, fitness for a particular purpose, or non-infringement of academic property or other violation of rights. In addition, Crmgro does not make any representations or warranties regarding the suitability, accuracy, or reliability of the use of the materials on its website or any sites linked to it.
During regular intervals, Crmgro may update its Agreement and/or Policies for the Customer, and all Customers shall be bound by the latest applicable updated Agreement and/or Policy.
